License Agreement

IMPORTANT: READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING ANY ORRA AUDIO SOFTWARE.

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and Orra Audio LLC (“Orra Audio,” “Company,” “We,” or “Us”) for any and all software products, plugins, and applications developed and distributed by Orra Audio (“Software”).

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. Grant of License

Subject to the terms and conditions of this Agreement, Orra Audio grants You a non-exclusive, non-transferable license to use the Software for Your personal or commercial music production purposes on computers You own or control. This license applies to each Orra Audio product individually, as purchased or otherwise obtained through authorized channels.

2. Restrictions

You may not:

•Distribute, rent, lease, lend, sell, or sublicense the Software
•Reverse engineer, decompile, disassemble, or attempt to derive the source code
•Remove or alter any proprietary notices or labels on the Software
•Use the Software in any manner that violates applicable laws or regulations
•Create derivative works based on the Software

3. Intellectual Property

The Software is protected by copyright and other intellectual property laws. Orra Audio retains all right, title, and interest in and to the Software, including all intellectual property rights therein. All product names, logos, and brands are the property of Orra Audio LLC.

4. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ORRA AUDIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Limitation of Liability

IN NO EVENT SHALL ORRA AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORRA AUDIO’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APPLICABLE SOFTWARE PRODUCT.

6. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if You fail to comply with any term of this Agreement. Upon termination, You must cease all use of the Software and destroy all copies.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to conflict of law principles.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
